Contract Administration

Typically, small businesses sign contracts and then file them away. In many cases, however, these are ticking time bombs. First, often after signing a contract, small businesses act in ways contrary to what the contract says. This leaves them at risk for penalties as well as for contract cancellation. It also leaves them exposed to automatic renewals, where many contracts provide for auto renewal unless notified otherwise. Finally, many contracts have notice requirements, where one party is required to notify another party of certain events in order to preserve their rights or comply with duties. Many notice provisions are not definite and use terminology such as “within a reasonable time”. This can be a trap for those with busy schedules and business distractions.

Small businesses like yours may lack the resources to have someone watching every action of the business and matching it up to the contract requirements. Moreover, failure by you to provide cancellation notices exposes you to financial obligations you may not have wanted. That is why we manage contracts on behalf of small businesses. We keep track of dates and duties and notice and deadline provisions so that you are not exposed to damages, penalties and unintended renewals.
